§ 1 Name, Seat and Purpose

The name of the association is Freikatholische Kirche in Deutschland (Free Catholic Church in Germany), abbreviation: F. K.

The Free Catholic Church in Germany serves to promote the Christian religion and thus the ethical content of the individual citizen.

Being in the succession of Jesus Christ, the Free Catholic Church wants to help all men to the best of its abilities and means.

The association exclusively and directly pursues non-profit-making and charitable purposes in the sense of the Section "Tax-privileged Purposes" of the Tax Code. The purpose of the association comprises churches, hospital and sheltered workshop for disabled on the Philippines.

The association works unselfishly; it does not primarily pursue own economic purposes.

The funds of the association can only be used for the purposes set out in the Articles. The members do not receive payments from the association's funds.

No person must be favoured by any expenses not in line with the purpose of the association or by unreasonably high remuneration.

Since the Free Catholic Church is a free church, it does not impose church tax. It lives and works exclusively on voluntary donations.

§ 2 Chairman (§26 BGB - German Civil Code)

The Archbishop and Primate of Germany is the Chairman of the association. His post is for life.

The Chairman is appointed by resolution adopted by the general meeting. A removal is only possible for good cause; such good cause can be gross breach of duty or incapacity for proper management.

§ 3 Committee

The Chairman is assisted by the Committee - not constituting their committee capacity under §26 BGB -. That Committee comprises a) the Secretary-General, b) the Treasurer, c) the Consistory Councillors who are appointed and removed by the Chairman.

§ 4 Joining and Leaving of Members

A member joins the association by declaration to the Chairman.

A notice of leaving must be submitted not later than three months before the end of a calendar year. Otherwise, it will take effect upon expiration of the next following calender year. An objection (within one month) can be filed with the Committee, attn. Chairman (Archbishop), against the expulsion of a member that can be declared by the Chairman if a member, in spite of a warning given, behaves in an undignified manner or disturbes the order or the peace of the association.

The decision of the Chairman is final, notwithstanding any applicable legal provisions.

§ 5 Membership Fee

There is no legal obligation to pay membership fees.

§ 6 General Meeting

The Chairman can convene the general meeting.

It must be convened if at least 20 members jointly apply for its convening and indicate the items of the agenda that they wish to decide on.

The Chairman can add further items to the agenda.

The regular general meeting shall take place once a year, if possible in the last quarter. It is convened by the Chairman in writing, observing a period of 2 weeks.

That period shall begin on the day after posting the invitation letter. The invitation is regarded as received if it is addessed to the last addres indicated by the member to the association.

Resolutions of the general meeting concerning matters of the association shall be adopted by simple majority of the members present, unless it concerns amendments to the Articles that require a three-quarter majority of the members present.

The resolutions adopted by the general meeting are recorded by the Secretary-General or by the Chairman.

§ 7 Dissolution or Termination

Upon dissolution of the association or upon discontinuation of its present purpose, the property of the association, to the extent it exceeds the capital contributions made by the members or the general value of the contributions in kind made by the members, shall pass to the SOS Kinderdorf Munich, that must use it directly and exclusively for non-profit, charitable or church purposes.
